Master Services Agreement & Terms of Service

1. Contracting Entity & Scope of Service

This Master Services Agreement ("Agreement") governs the purchase and delivery of all digital virtual services, artificial intelligence media production, custom software engineering, user interface design, and commercial retainers provided by ZIGMOTECH LIMITED ("Company", "Seller", "we", "us"), a private corporation registered under the laws of the Hong Kong Special Administrative Region (Business Registration Number: 81210808), to the purchasing counterparty ("Client", "Buyer", "you").

2. Exclusively Digital Fulfillment (No Physical Shipping)

Zigmotech Limited provides strictly intangible virtual services and digital assets. Under no circumstances does the Company sell, manufacture, or physically ship tangible merchandise. Delivery is conducted 100% electronically via our secure Client Account Portal, direct encrypted cloud download links, or private GitHub/GitLab repository handoffs within 24 to 48 hours of brief verification (or in accordance with contracted milestone schedules). 3. Currencies & Payment Processing

All service packages and commercial invoices are priced in United States Dollars (USD) and Hong Kong Dollars (HKD). Card payments are processed securely via Stripe (PCI-DSS Service Provider Level 1 certified), supporting Visa, Mastercard, American Express, Apple Pay, and Google Pay. Direct corporate wire transfers are accepted via The Hongkong and Shanghai Banking Corporation (HSBC Hong Kong) in both USD and HKD.

4. No Refund, No Return & Chargeback Waiver

As set forth in Clause 5 of our Commercial Agreement, because the Company allocates dedicated creative and software engineering personnel immediately upon checkout, all payments are final and non-refundable once active work has commenced or digital files are dispatched. The Client acknowledges having verified deliverable specifications before payment. In the event of defects or bugs, the Company provides comprehensive technical support and up to three (3) sprint revision rounds as the sole and exclusive remedy. The Client covenants not to initiate any payment dispute or chargeback with their bank or card issuer.

5. Intellectual Property Rights & Commercial Licensing

Upon full settlement of commercial invoices, all worldwide copyright, intellectual property rights, and commercial exploitation licenses in and to custom digital deliverables pass unconditionally to the Client. Zigmotech Limited warrants that deliverables do not knowingly infringe on third-party intellectual property.

6. Confidentiality & Non-Disclosure (NDA)

All client materials, project briefs, proprietary source code, and commercial media provided to the Company are protected under strict corporate non-disclosure protocols. Zigmotech Limited will never publicly publish or train public artificial intelligence models on proprietary client assets without prior written consent.

7. Governing Law & Dispute Resolution

This Agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any dispute arising out of or in connection with this contract shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted.
